Stonewise Trade Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your participation in the Stonewise Trade. By submitting an application to open the trade account, you agree to be bound by these Terms.

Stonewise (formerly The Stonemart) is a trading name of The Stonemart Ltd, a company registered in England and Wales.

Trade Partner or You refers to any individual or business entity approved to participate in the Stonewise Trade Programme.

2. Eligibility

2.1 The Programme is open to bonafide trade professionals including, but not limited to:

  • Professional landscapers and garden designers
  • Builders and construction companies
  • Property developers
  • Architects and specifiers
  • Interior designers working on outdoor projects
  • Any trade professionals regularly purchasing paving and stone products for commercial purposes

2.2 Applicants must provide accurate, complete, and current information during the application process, including:

  • Full legal business name and trading name (if different)
  • Valid business address and contact details
  • VAT registration number (if applicable)
  • Proof of trade status (if requested)

2.3 Stonewise reserves the right to request additional documentation to verify trade status, including but not limited to business registration documents, trade licenses, or professional certifications.

2.4 Applications are subject to approval by Stonewise. We reserve the right to accept or reject any application at our sole discretion.

2.5 Approval typically takes 1–2 business days. You will be notified via email once your application has been processed.

3. Account Registration and Security

3.1 Upon approval, you will receive login credentials to access your Trade Account.

3.2 You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying Stonewise immediately of any unauthorised use or security breach

3.3 You must not share your account credentials with any third party.

3.4 Stonewise reserves the right to suspend or terminate accounts that show signs of unauthorised use or fraudulent activity.

4. Trade Discount & Spending Rewards

4.1 Instant Trade Discount:
All approved Trade Partners receive a 5% instant discount on all orders placed through their Trade Account.

4.2 Annual Spending Rewards (Cashback):
Cashback is calculated based on your total annual spending (excluding VAT, delivery charges, and handling fees) as follows:

  • Spend £5,000–£9,999.99 in a year: 1% cashback
  • Spend £10,000–£14,999.99 in a year: 2.5% cashback
  • Spend £15,000+ in a year: 5% cashback

4.3 Cashback is applied to your entire year's business and is calculated at the end of your annual period (12 months from account approval date).

4.4 Cashback will be issued as store credit to your Trade Account within 30 days of the end of your annual period.

4.5 Trade discount is exclusive to the account holder and must not be shared with non-trade customers or used for personal, non-commercial purchases.

4.6 Stonewise reserves the right to adjust pricing, discount rates, or cashback tiers at any time with 30 days' notice to Trade Partners.

4.7 Trade discounts and cashback rewards cannot be combined with other promotional offers unless explicitly stated.

5. Ordering And Payment

Trade Partners may pay using:

  • Major credit/debit cards
  • PayPal
  • Apple Pay
  • Google Pay
  • Bank transfer (BACS)
  • Buy Now Pay Later options (Klarna, PayPal Pay Later)
  • Trade Credit (via iwocaPay, subject to approval)

5.3 Trade Credit:
Trade credit facilities are subject to separate credit checks and approval by our financing partners (like iwocaPay). Separate terms and conditions apply.

5.4 Payment must be received before orders are dispatched unless credit terms have been agreed in writing.

5.5 All prices displayed on the website are inclusive of VAT unless otherwise stated.

5.6 Stonewise reserves the right to refuse or cancel orders at our discretion, particularly in cases of suspected fraud, pricing errors, or stock unavailability.

6. Custom and Bespoke Orders

6.1 Trade Partners may request custom sizes and bespoke orders based on specific project requirements.

6.2 Custom orders are subject to:

  • Minimum order quantities (advised during quotation)
  • Extended lead times (estimated timeline provided upon order confirmation)
  • Non-returnable policy (unless faulty or not meeting agreed specifications)

6.3 Custom orders require written approval and advance payment or agreed credit terms before production commences.

6.4 Stonewise will make every effort to meet custom specifications, but natural stone variations mean exact colour and texture matching cannot be guaranteed.

7. Delivery

7.1 Free Delivery:
Trade Partners receive free delivery to most UK mainland postcodes. Some postcodes may incur additional haulage charges. Additional charges apply to Northern Ireland, Scottish Islands, Isle of Wight, Isle of Man, Isle of Scilly, Jersey, Guernsey, and some remote/rural areas.

7.2 Delivery Options:

  • Standard Delivery: 3 business days (for orders placed before 5pm). Select your delivery date at the cart page.
  • Express Delivery: 2 business days (additional charge applies)
  • Saturday Delivery: Available for £80 extra
  • AM/PM Delivery: Available for £15 extra

7.3 Delayed Delivery:
Free delayed delivery is available for up to 4 weeks. Beyond 4 weeks, a nominal charge of £5 per pallet per week applies.

7.4 Collection Discount:
Trade Partners collecting orders from our warehouse receive £50 off per pallet. At least 24 hours' notice is required.

7.5 Delivery Requirements:

  • Deliveries are kerbside only
  • A hard, flat surface (tarmac or concrete) is required
  • Trade Partners must ensure someone is present to accept delivery
  • Failure to be present may incur a £60 redelivery charge per crate/pallet

7.6 Whilst we make every effort to deliver on the agreed date, Stonewise cannot be held responsible for delays due to circumstances beyond our control (weather, traffic, logistics issues, etc.).

8. Split Packs

8.1 Trade Partners may order split packs (partial quantities from full packs) subject to an £85 handling fee per split pack.

8.2 Mixed patio packs cannot be split and are supplied in standard, predefined configurations only.

8.3 Split packs and individual slabs are non-returnable.

9. Returns And Refunds

9.1 Return Period:
Trade Partners have 14 days from receipt to notify us of a return request.

9.2 Return Conditions:
Items must be:

  • Unused and in saleable condition
  • In original, unopened packaging
  • Full packs only (no partial packs or individual slabs)

9.3 Return Charges:
Returns incur a £100 collection fee per crate. Refunds will be issued for the product price paid, less collection charges and handling fees.

9.4 Non-Returnable Items:

  • Custom/bespoke orders (unless faulty)
  • Split packs
  • Individual slabs or partial packs
  • Installed products
  • Products with opened or damaged packaging (unless repacked to saleable standard at customer's expense)

9.5 Failed collections due to non-compliance with our returns policy will incur a £60 failed collection charge.

9.6 Refunds are processed within 7 working days of receipt and inspection of returned goods.

10. Damaged Goods And Shortage Claims

10.1 Some damage is expected during transit. We recommend ordering 10-15% extra to account for cutting, waste, and transit damage.

10.2 Damage Reporting:
Damage must be reported within 48 hours of delivery to info@stonewise.uk with:

  • Order number
  • Clear photos of all damaged items
  • Signed delivery note marked as 'Damaged'

10.3 Damage Policy:

  • Transit damage up to 5%: Not covered
  • Damage between 5-20%: Pro-rata refund
  • Damage exceeding 20%: Replacement may be offered

10.4 Free replacements are generally not provided. Refunds are processed as per our Terms and Conditions.

10.5 No refunds or replacements are available for installed products.

10.6 Minor chipping and slight damage are not considered under our damage policy.

11. Rewards & Recognition Programme

11.1 Trade Partners may participate in the Stonewise Rewards & Recognition Programme by submitting completed projects for approval.

11.2 Approved submissions may receive:

  • Store credit or cash rewards
  • Featured placement on website, social media, and marketing materials
  • Customer referrals and recommendations

11.3 Separate terms and conditions apply to the Rewards & Recognition Programme. By submitting projects, you grant Stonewise rights to use images on the website and for marketing purposes.

11.4 Not all submissions are guaranteed approval. Stonewise reserves the right to select projects based on quality and suitability.

12. VAT And Invoicing

12.1 Prices are displayed inclusive of VAT.

12.2 VAT invoices are provided for all Trade Partner orders for business records and accounting purposes.

12.3 You are responsible for ensuring your VAT registration details are current and accurate.

13. Intellectual Property

13.1 All content on the Stonewise website, including product images, descriptions, logos, and branding, is the intellectual property of Stonewise.

13.2 Trade Partners may use product images and information for the sole purpose of promoting Stonewise products to their customers.

13.3 Trade Partners must not:

  • Reproduce Stonewise branding without written permission
  • Misrepresent Stonewise products or pricing
  • Use Stonewise content for purposes unrelated to promoting our products

14. Confidentiality

14.1 Trade pricing, discount structures, and cashback rates are confidential and must not be disclosed to non-trade customers or competitors.

14.2 Any proprietary information shared by Stonewise (product specifications, pricing structures, business strategies) must be kept confidential.

15. Conduct And Termination

15.1 Prohibited Activities:
Trade Partners must not:

  • Misrepresent their trade status
  • Use Trade Accounts for personal, non-commercial purchases
  • Share account credentials with third parties
  • Resell products at prices that damage the Stonewise brand reputation
  • Engage in fraudulent or deceptive practices

15.2 Suspension or Termination:
Stonewise reserves the right to suspend or terminate Trade Accounts immediately if:

  • False information was provided during application
  • Terms and Conditions are violated
  • Fraudulent activity is detected
  • Payment defaults occur
  • Conduct damages the Stonewise reputation

15.3 Upon termination:

  • Outstanding balances become immediately due
  • Access to Trade Account portal will be revoked
  • Pending cashback rewards may be forfeited
  • No refunds will be issued for membership benefits

15.4 Trade Partners may voluntarily close their account by providing written notice to support@stonewise.uk. Outstanding orders and payments must be settled before closure.

16. Liability And Indemnification

16.1 Stonewise's liability is limited to the value of the products purchased.

16.2 Stonewise is not liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits, revenue, or business opportunities
  • Delays in delivery due to circumstances beyond our control
  • Natural variations in stone products
  • Improper installation or use of products

16.3 Trade Partners indemnify Stonewise against any claims, damages, or losses arising from:

  • Misuse or improper installation of products
  • Misrepresentation of Stonewise products to end customers
  • Breach of these Terms and Conditions

16.4 Natural stone is a natural product. Slight variations in colour, shade, texture, and thickness are inherent characteristics and do not constitute defects.

17. Data Protection And Privacy

17.1 Stonewise collects and processes Trade Partner data in accordance with UK GDPR and our Privacy Policy.

17.2 By joining the Programme, you consent to:

  • Processing of business and contact information
  • Communication via email, phone, and WhatsApp regarding orders, promotions, and programme updates
  • Storage of order history and account data

17.3 You have the right to:

  • Access your personal data
  • Request corrections or deletions
  • Opt out of marketing communications
  • Lodge a complaint with the Information Commissioner's Office (ICO)

17.4 Stonewise will not sell or share your data with third parties except as necessary for order fulfillment (delivery partners, payment processors) or as required by law.

18. Force Majeure

18.1 Stonewise shall not be liable for failure to perform obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (floods, storms, earthquakes)
  • War, terrorism, civil unrest
  • Government restrictions or regulations
  • Strikes, labour disputes
  • Supply chain disruptions
  • Pandemics or public health emergencies

18.2 In such events, Stonewise will make reasonable efforts to notify Trade Partners and resume normal operations as soon as possible.

19. Amendments To Terms

19.1 Stonewise reserves the right to amend these Terms at any time.

19.2 Trade Partners will be notified of significant changes via email at least 30 days before changes take effect.

19.3 Continued use of the Trade Account after changes take effect constitutes acceptance of the amended Terms.

19.4 If you do not agree to amended Terms, you may close your account by providing written notice.

20. Governing Law And Jurisdiction

20.1 These Terms are governed by the laws of England and Wales.

20.2 Any disputes arising from these Terms or your participation in the Programme shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20.3 Stonewise and Trade Partners agree to attempt to resolve disputes amicably through negotiation before pursuing legal action.

21. Entire Agreement

21.1 These Terms, together with our Privacy Policy and any additional programme-specific terms (Rewards & Recognition, Trade Credit), constitute the entire agreement between you and Stonewise regarding the Trade Programme.

21.2 These Terms supersede any prior agreements, representations, or understandings (whether written or oral).

22. Severability

22.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
